Here is a form of restricted two-party confidentiality agreement covering information disclosed by one of the parties. It is “restricted” because it applies only to specific information that is marked as “Confidential”, and because the obligations of confidentiality in this Agreement only apply for a specified period of time.

Please keep in mind that confidentiality agreements are not generic – there are many variables, and every form of agreement is not right for every situation. As always, consider consulting a lawyer to talk through your needs and what is appropriate for you.
